These Terms of Use (the "Terms") govern your access to and use of this website and all pages, content, documents, images and files made available through it (together, the "Site"). The Site is operated by Zentek Ltd. ("Zentek", the "Company", "we", "us" or "our").
By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy and Legal Disclaimers, each of which forms part of these Terms. If you do not agree to these Terms, do not access or use the Site.
Zentek Ltd. is a Canadian intellectual property development and commercialization company listed on the TSX Venture Exchange (TSX-V: ZEN) and the Nasdaq Capital Market (Nasdaq: ZTEK). Zentek is a reporting issuer in Canada and a foreign private issuer in the United States.
The Site is intended as a general corporate information resource. It is not a substitute for the Company's continuous-disclosure record, which is filed on SEDAR+ and EDGAR and which prevails over anything published here.
This particular deployment of the Site is a private, password-protected preview of a redesigned Zentek website, made available to a limited audience for internal, legal and compliance review before public release.
Content on the preview is a work in progress. It may include placeholder text, draft copy, unreviewed figures, incomplete source attributions and design annotations. It has not been approved for public distribution and must not be treated as a public disclosure by the Company. Access credentials are provided to you personally and must not be shared, and preview content must not be reproduced, quoted, screenshotted or circulated outside the review group without our prior written consent.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access the Site and to view, download and print its content for your own informational, non-commercial use, including bona fide investment research and, where applicable, the review purposes described in section 03.
You must retain all copyright, trademark and other proprietary notices on any content you download or print. No other right or licence is granted, whether by implication, estoppel or otherwise.
Except as expressly permitted above, you must not:
All content on the Site - including text, graphics, photographs, illustrations, videos, data compilations, page layouts, designs, source code and the selection and arrangement of content - is owned by or licensed to Zentek and is protected by Canadian, United States and international copyright, trademark and other intellectual property laws.
ZENTEK, ZenGUARD, ZenFire, ZenICE, Triera and the Zentek logo, together with the Company's other product and platform names, are trademarks or registered trademarks of Zentek Ltd. or its subsidiaries. Nothing on the Site grants you any right to use them. Third-party names, marks and logos that appear on the Site remain the property of their respective owners and are used for identification purposes only; their appearance does not imply any affiliation with or endorsement by those owners.
Zentek's patents, patent applications and other intellectual property rights are not licensed, assigned or otherwise transferred by anything published on the Site. References to patent filings describe their status as at the date indicated and do not warrant that any application will be granted.
The Site is published for general information only. Nothing on it constitutes investment, financial, legal, tax, accounting or other professional advice, or a recommendation to buy, hold or sell any security.
Nothing on the Site constitutes an offer to sell, or the solicitation of an offer to buy, any security in any jurisdiction, nor will any securities be offered or sold in any jurisdiction in which such an offer, solicitation or sale would be unlawful. Any offering of securities by the Company is made solely by the relevant prospectus, offering document or other authorized offering material.

We take reasonable care in preparing the Site, but information on it is provided as at the date it is posted and may become out of date. Content may include summaries, estimates, third-party market data and forward-looking statements, all of which are subject to the qualifications in our Legal Disclaimers.
Except as required by applicable securities laws, we assume no obligation to update or revise any information on the Site, whether as a result of new information, future events or otherwise. Archived material, including historical news releases and presentations, is retained for reference only and speaks as at its original date.
The Site contains links to websites and resources operated by third parties, including SEDAR+, EDGAR, exchange and news-distribution services, and research publications. Those links are provided for convenience only.
We do not control, endorse, verify or accept responsibility for third-party sites or their content, products, services, availability or privacy practices. Following an external link is at your own risk and is governed by the terms and privacy policy of the destination site.
Where the Site allows you to send us an enquiry - for example through the investor relations or business development forms on our Contact page - you agree that the information you submit is accurate, that you are entitled to provide it, and that you will not submit unlawful, misleading, infringing or harmful content.
Personal information you submit is handled in accordance with our Privacy Policy. Please do not send us confidential or proprietary information, or any unsolicited idea, invention, business proposal or other material, through the Site. Any such material you do send is deemed non-confidential, and you grant us a worldwide, royalty-free, perpetual and irrevocable licence to use, reproduce and disclose it for any purpose without obligation or compensation to you. This does not apply to personal information, or to information covered by a separate written confidentiality agreement with us.
Communications through the Site are not a substitute for formal notice to the Company and do not create any advisory, fiduciary or other relationship between you and Zentek.
The Site and all of its content are provided "as is" and "as available", without warranty, representation or condition of any kind, whether express, implied or statutory.
To the fullest extent permitted by law, we disclaim all implied warranties and conditions, including those of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be accurate, complete, current, reliable, uninterrupted, secure or free of errors, viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
To the fullest extent permitted by law, neither Zentek nor its subsidiaries, directors, officers, employees, agents, consultants or service providers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or in connection with your access to, use of, or inability to use the Site, or your reliance on any of its content, whether based in contract, tort (including negligence), strict liability, statute or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Where liability cannot lawfully be excluded, our aggregate liability arising out of or relating to the Site is limited to one hundred Canadian dollars (CAD $100). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability under applicable securities legislation.
You agree to indemnify and hold harmless Zentek and its subsidiaries, directors, officers, employees and agents from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Site, or your unauthorized disclosure of preview content or access credentials.
Our collection, use, disclosure and retention of personal information in connection with the Site is described in our Privacy Policy. By using the Site you acknowledge that you have read it.
We may change, suspend, restrict or discontinue all or part of the Site, and may amend these Terms, at any time and without notice. Amended Terms take effect when posted, and the "last updated" date above will be revised accordingly. Your continued use of the Site after Terms are posted constitutes acceptance of them. Please review these Terms periodically.
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules. You submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, subject to any non-waivable right you may have to bring proceedings in your place of residence.
The Site is directed to and controlled from Canada. We make no representation that its content is appropriate, lawful or available for use in other jurisdictions. If you access the Site from outside Canada, you do so on your own initiative and are responsible for complying with your local laws.
